Welcome to Sanfy! These Terms and Conditions outline the rules and regulations for the use of Sanfy's website and IT services.

1. Terminology

The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice: "Client", "You", and "Your" refers to you, the person logging on to this website and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our", and "Us", refers to our Company, Sanfy. "Party" or "Parties" refers to both the Client and ourselves.

2. Services Offered

Sanfy provides professional IT services including Web Development, Application Development, Software Consultancy, Cloud Infrastructure configurations, AI/ML Integrations, and Cybersecurity audits. The scope, timelines, deliverables, and service rates for individual projects are governed by separate Statement of Works (SOW) or Service Agreements signed between the Parties.

3. Intellectual Property Rights

Unless otherwise agreed in a separate written agreement between the parties, all custom intellectual property, software code, design mocks, and database schemas created specifically for a Client during a paid engagement shall belong fully to the Client upon successful receipt of full payments by the Company.

Material owned globally by Sanfy, including our general frameworks, pre-existing libraries, software templates, and base widgets, remains the property of Sanfy. We grant clients a non-exclusive, perpetual, royalty-free license to run such components embedded in their custom solutions.

4. Billing, Payments & Gateway Integrations

• Fees & Charges: Service rates are based on fixed-bid contracts or time-and-materials calculations. Rates are subject to standard taxes as per local laws (e.g., GST in India).
• Payment Gateway: Online invoice settlements and payment collections on our website are facilitated through payment partners like Razorpay. By selecting online settlement, you agree to comply with Razorpay's terms of service.
• Failed Transactions: In case of transaction failures where money is debited from your account but not received by Sanfy, the gateway (Razorpay) will reverse the amount back to your payment source as per their timeline (typically 5-7 working days).

5. Service Delivery & Execution Timelines

Because IT services are custom-engineered, delivery timelines (milestones) are agreed upon during project kickoff. We strive to meet all agreed milestones; however, delivery dates may adjust if there are client delays in providing requirements, content assets, APIs, or feedback. Sanfy is not liable for delayed launches resulting from external dependencies.

6. Limitation of Liability

In no event shall Sanfy, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this website or our software systems. Sanfy, including its officers, directors, and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of our custom-developed code once it is deployed on your production servers.

7. Indemnification

You hereby indemnify to the fullest extent Sanfy from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

8. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the State of Uttar Pradesh, India, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Noida for the resolution of any disputes.
